In this position...

You will have the opportunity to work on sophisticated transactions in a collaborative team environment.

You will work closely with our Corporate Development team and other business functions in evaluating, negotiating, drafting, closing, and implementing transactions to support our business initiatives.

You will provide legal advice in connection with mergers, acquisitions, strategic alliances, and other transaction matters.

A successful candidate for this position will be an independent thinker and team player, with a demonstrated ability to be a strong strategic partner with clients.

What you'll do...

You will provide legal advice and support to business leaders in Ford’s Corporate Development function and other business segments on global corporate transactions, strategic initiatives, and corporate law matters associated with transactions.

You will negotiate and draft transaction agreements including stock and asset purchase/sale agreements, merger agreements, joint venture agreements, partnership/LLC/shareholder agreements, investment agreements, framework agreements, confidentiality agreements, letters of intent, and term sheets.

You will manage and coordinate due diligence reviews and resolution of due diligence matters and manage outside legal advisors on transaction-related matters.

You will provide legal advice in connection with the integration of acquired businesses and the implementation and operation of joint ventures and alliances.

You will collaborate with global Ford Office of the General Counsel colleagues and subject matter experts throughout the Company to proactively solve issues and analyze, communicate, and mitigate legal risks in negotiating and implementing transactions.

You will stay abreast of legal developments impacting the transactions practice and provide legal education and training for our business partners.

You'll have...

  • A Juris Doctorate from an ABA-accredited law school

  • 5+ years of legal experience, with membership in good standing of the Michigan Bar (or member in good standing of another state bar and eligible for registered in-house counsel status in Michigan), at a law firm or large corporation with substantial experience in negotiating and drafting the principal documents for M&A transactions.

  • Proficiency in the corporate and commercial laws applicable to M&A transactions and knowledge of market practice and norms.
