Wolters Kluwer Manager, Corporate Development – M&A in Helena, Montana

Preferred location is our New York City office. For the right candidate, 100% remote is an option.

Wolters Kluwer is an active acquirer of Software and Information Services Companies serving the B2B market. The company is organized around four global divisions: 1) Tax and Accounting, 2) Legal & Regulatory, 3) Health and 4) Governance, Risk and Compliance (focused on the financial services space). The North America Mergers and Acquisitions team reports to the Executive Board of Wolters Kluwer and is responsible for evaluating and executing strategic acquisitions in the Americas (strong North America focus) as directed by the Executive Board. The M&A team leads all M&A activity across all Wolters Kluwer divisions.

As Manager, Corporate Development - M&A, you will be responsible for supporting the analysis and execution of M&A activity across all four divisions of Wolters Kluwer in North America. This is a key role on a very lean team, that reports into the Director of the group, requiring a hands-on approach and ability to lead ad-hoc project teams in a distributed management environment. Candidate must be a self-starter with a strong intellect, work ethic and analytical skills.

As a successful candidate, you will demonstrate prior success in rigorous analysis and financial modeling of quantitative and qualitative data, and ability to provide thoughtful insights. The candidate must also have strong written and verbal communication skills. You will have meaningful experience leading analysis / execution of acquisitions and divestitures, as well as coordinating across multiple divisional and corporate teams.

Please note: During peak periods of deal execution this position may require extended hours and work on weekends.

Job Responsibilities:

  • Key member of the team to identify and evaluate new acquisition/investment candidates working with SVP and divisional management

  • Responsible for managing all elements of transaction execution from initial evaluation to due diligence, legal documentation, and closing

  • Meet with prospective acquisition / investment candidates

  • Prepare analyses and memoranda for Executive Board and Supervisory Board (as applicable) during the transaction approval process

  • Help to write formal proposals in collaboration with the divisions to present acquisitions and divestitures to Executive Board of Wolters Kluwer

  • Detailed analysis of Income Statement and Cash Flow financial models from an operating perspective collectively "Operating Models" using key performance indicators (KPIs) and other variables as drivers to estimate sales, revenue and expenses over a multi-year projection period on a monthly/quarterly basis

  • Lead preparation of valuation models following the Wolters Kluwer Corporate M&A standards - key analyses include Return on Invested Capital (ROIC), accretion/dilution analysis, discounted cash flow analysis, and comparable company analysis

  • Manage due diligence process (e.g., information requests, information flow and priorities between target company, bankers and Wolters Kluwer internal and external team including financial and legal advisors)

  • Evaluate and synthesize due diligence findings (e.g., financial, legal, technical and tax due diligence)

  • Negotiate purchase and employment agreements with selling shareholders / advisors in coordination with SVP and WK legal counsel

  • Coordinate with technical experts as applicable to conduct on site analysis and assessment of technology platforms, business plan, scalability, etc.

  • Coordinate with various WK teams (including divisional management, tax, accounting, real estate, treasury, benefits and payroll) to facilitate due diligence and integration planning

  • Maintain deal database and internal reporting functions

  • Support Finance department in analysis of purchase accounting

Minimum Qualifications:

  • Bachelor’s Degree in Accounting, Finance, Economics or related field of study.

  • 3 or more years of experience in private equity, venture capital, merchant banking or investment banking including:

  • In depth valuation and operational financial modeling experience

  • Proficiency in private equity deal analysis and execution, M&A related advisory work in investment bank or boutique M&A firm, or similar corporate development expertise.

  • Good working knowledge of corporate finance and accrual accounting concepts

  • Ability to efficiently analyze large quantities of data to drive financial modeling and due diligence

Preferred Qualifications:

  • 3 or more years of experience, preferred

  • Master of Business Administration (MBA) or Certified Public Accountant (CPA) credentials. Pre-MBA private equity associates seeking to move to corporate development would be appropriate candidates

  • High achiever, strong critical and analytical thinker

  • Proven hard working self-starter with a sense of urgency

  • Strong communication skills, both written and verbal

  • Ability to deal with ambiguity in a quickly changing decision making environment

  • Familiarity with enterprise and SAAS software businesses

  • Deal environment requires vigilant attention to detail, ability to prioritize and handle multiple assignments while managing details, and personal integrity to maintain strict confidentiality of projects

  • Advanced knowledge of Microsoft Excel, PowerPoint and Word

  • References of a successful candidate will exude confidence in the candidate’s business judgment and financial and analytical skillsets

Travel Requirements:

  • 10-20% under normalized working environment
